Introduction
These Terms & Conditions ("Terms") govern your access to and use of the website, mobile applications, and related services made available by LEDGERS IT Services Private Limited, its affiliates, group companies, and regional operating entities in the United Arab Emirates and the United States (collectively, "LEDGERS", "we", "our", or "us") at https://ledgers.cloud (collectively, the "Services"), by you, the customer, potential customer, Partner, or other user of the Services ("Customer", "User", or "you").
These Terms apply to your general use of the LEDGERS website and your commercial relationship with LEDGERS, including billing, accounts, and refunds. They should be read together with, and do not replace:
- the LEDGERS End User License Agreement (EULA), which governs your license to use the LEDGERS software platform, acceptable use restrictions, intellectual property terms, warranties, liability, and dispute resolution; and
- the LEDGERS Privacy Policy, which governs how we collect, use, and protect your Customer Information.
Where these Terms address your account, billing, and commercial relationship with LEDGERS, and the EULA addresses your license to use the Software, in the event of a direct conflict on a licensing matter, the EULA shall govern. By accessing or using our Services, you confirm that you have read and understood these Terms and consent to be bound by them.
Regional Scope
LEDGERS operates across India, the United Arab Emirates, and the United States. The specific entity you are contracting with, the currency in which you are billed, and the governing law and jurisdiction applicable to you are determined by the country or region selected at sign-up, your registered billing address, or the LEDGERS regional platform (India, UAE, or USA) through which you access the Services, as further described in the EULA.
Use of the Website and Services
3.1 Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to agree to these Terms.
3.2 Permitted Use
You may access and use the website and Services only for lawful purposes and in accordance with these Terms and the EULA. Your license to use the LEDGERS software platform itself, and the restrictions on that use, are set out in the EULA.
3.3 Website Content
Content on the LEDGERS website, including product descriptions, pricing, and feature information, is provided for general informational purposes and is subject to change without notice. In the event of a discrepancy between website content and your specific order form or Subscription Plan, the order form or Subscription Plan shall prevail.
3.4 Third-Party Links
The website may contain links to third-party websites or services, including banking partners, payment gateways, and government portals. LEDGERS does not control and is not responsible for the content, accuracy, or practices of any third-party website.
Accounts
4.1 Account Creation
To access most Services, you must create an Account by providing accurate, current, and complete information. You are responsible for keeping this information up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity occurring under your Account. You must notify LEDGERS immediately of any unauthorised access or use of your Account.
4.3 One Account Per User
Unless otherwise agreed in writing or permitted under a multi-user Subscription Plan, each Account is intended for use by a single Customer or its authorised team members.
Subscription Plans, Fees, and Billing
5.1 Subscription Plans
LEDGERS offers various Subscription Plans, as described on the LEDGERS Pricing page or in a separate order form. Each Subscription Plan specifies the modules, usage limits, and fees applicable to your Account.
5.2 Fees and Taxes
All fees are exclusive of applicable taxes (including GST, VAT, or sales tax) unless stated otherwise, and such taxes will be added to your invoice where applicable.
5.3 Billing Cycle
Fees are billed in advance on a recurring basis (monthly or annually, as selected at checkout) in the currency applicable to your region (INR, AED, or USD). Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date through your Account settings.
5.4 Free Trials
Where LEDGERS offers a free trial or free-tier plan, continued use of the Services beyond the trial period or free-tier limits will require selection of a paid Subscription Plan.
5.5 Price Changes
LEDGERS may revise its fees and Subscription Plans from time to time. Any price change will not apply retroactively to a then-current paid subscription term but may apply upon renewal, with prior notice provided to you.
5.6 Non-Payment
If payment is not received by the applicable due date, LEDGERS may suspend or restrict your access to the Services after providing reasonable prior notice, as further described in the EULA.
Refund and Cancellation Policy
6.1 30-Day Satisfaction Guarantee
If our Services do not meet your expectations, you have 30 days from the date of payment to request a refund. After this period, refunds will be processed as service credits, which can be utilised for future services.
6.2 Earned Fee & Cancellation Policy
Before any refund is processed, we strive to fulfil the service to the best of our abilities. In the event of dissatisfaction, a cancellation fee of 20%, along with any earned fee, will be deducted. However, if there is a change of service, the cancellation fee will not apply.
Refunds are subject to a minimum 20% cancellation fee. Additionally, any fees incurred by LEDGERS IT Services Private Limited (or the relevant regional LEDGERS entity) in completing the service will be deducted at the company's discretion.
The refund amount will not exceed 80% of the total fee paid by the Customer.
6.3 Change of Service
Customers can request a change of service after 30 days of purchase. The original service's purchase price, minus any earned fee and government charges, will be credited towards the new service. If the new service is of equal or higher value, the 20% deduction will not apply.
6.4 Requesting a Refund
To initiate a refund request, log in to your LEDGERS Account and select "LIVE CHAT" to begin the process. Additionally, you may contact us using the details in Section 9 with your transaction details.
Refunds are typically processed within 3–5 weeks of the request, provided all necessary information is supplied.
6.5 Regional Variations
Where applicable consumer protection law in your region (India, UAE, or USA) provides refund or cancellation rights that differ from this Section 6, those statutory rights will apply to the extent they cannot be lawfully limited or excluded, and nothing in this Section 6 is intended to override such rights.
Suspension and Termination
LEDGERS may suspend or terminate your access to the Services in the circumstances, and subject to the process, described in the EULA. Termination of your Account does not entitle you to a refund except as set out in Section 6 above or in the EULA.
Changes to these Terms
LEDGERS reserves the right to update or revise these Terms at any time. Material changes will be communicated through the website, in-app notifications, or email. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

Governing Law and Dispute Resolution
These Terms are governed by, and disputes arising under them shall be resolved in accordance with, the governing law, jurisdiction, and dispute resolution provisions set out in Section 14 of the LEDGERS EULA, applied based on the region in which your Account is registered (India, UAE, or USA).
